Page 1 it 8 Program Code: 752 Account Code: 575260 Contract #: 03..0+700049~R LEXINGTON -FAYETTE COUNTY HEALTH DEPARTMENT CONTRACT TO RECEIVE SERVICES THIS AGREEMENT, made and entered into this 1st day of July 2003 by and between the LEXINGTON-FAYETTE COUNTY HEALTH DEPARTMENT, 650 Newtown Pike, Lexington, KY 40508, (hereinafterreferred to as "Health Department") and UNIVERSITY OF KENTUCKY RESEARCH FOUNDATION for the UNIVERSITY OF KENTUCKY COLLEGE OF MBDICINB 201 Kinkead Hall Lexington, KY 40506-0057 Attn: Nary Hickman, Senior Research Administrator (hereinafter referred to as "Contractor"). NOW THEREFORE, in consideration of the mutual agreements set forth herein, the two parties hereto, intending to be legally bound hereby, agree as follows: The Health Department shall provide the administration of the Johnson Elementary School Center and shall be the billing management for reimbursable health services for the school-based centers. 1. 2. Pediatric medical services provided by Tom Young, M.D. for Johnson Elementary School Clinic will include the following: A. B. D. E. G. H. C. Serve as Medical Director for the Johnson Center. Provide medical supervision for the Nurse Practitioner at the Johnson Center. Provide pediatric outpatient primary care services 4 hours a week, to include medical consultation and evaluation for children with learning disabilities and attention deficit disorders. Supervision of medical residents providing medical services. Participation at meetings of the professional multidisciplinary team, as needed for consultation on complex medical problems. Participation with health educators on the health education curriculum. Participation in development of a comprehensive school health program. participation in development and implementation of programs, based on needs assessment such as asthma or obesity programs. Fayette County Health Department primary Care Center for services not available at the school clinics. Dental referral of students to the Health Department's dental clinic who are patients of the Health Department. The Contractor agrees that management of health information and records will follow the Health Department policies and procedures. Both parties will work collaboratively in writing future proposal for continuous funding of the school-based clinics. In consideration of the performance by the Contractor under this contract, the Health Department agrees to pay the actual invoice amount payable thirty (30) days after the receipt of appropriate billing (itemized invoice). The final invoice must be submitted not later than 2 months of the last date of service to insure payment fram the current funding source. 6. The Health Department reserves the right to request that the Contractor substantiate the sum demanded for remuneration before the Health Department is required to render payment. 7. In consideration of the performance of the Contractor under this contract, the Health Department agrees to pay a monthly installment in the amount of $1,333.33, starting with July 2003. Payments shall not exceed a total of $16,000.00 for the contract period. 8. The period in which the subject services are to be performed is from July 1, 2003 to June 30, 2004. 9. Either party may for any reason, at its option, terminate this agreement at any time provided the other party receives thirty (30) day notice in writing. 10. The parties to this contract intend that the relation between them created by this contract is that of independent contractors. No agent, employee, or servant of the Contractor shall be deemed to be the employee, agent or servant of the Health Department. The Contractor will be solely and entirely responsible for its acts and the acts of its agents, employees, servants and subcontractors during the performance of the contract. 11. Lexington-Fayette County Health Department affirms that it is not excluded from participation, and is not otherwise ineligible to
